**CHOICE OF LAW AND JURISDICTION**

* **Choice Of Law:** This (re)insurance shall be governed by and construed in accordance with the laws of any Court of Competent Jurisdiction in the United States of America whose laws shall govern any dispute as per Condition 8 (Service of Suit) of the Policy.
* **Jurisdiction:** The parties shall submit to the jurisdiction of the Courts of any Court of Competent Jurisdiction in the United States of America as per Condition 8 (Service of Suit) of the Policy.
* **Service Of Suit:** As per Condition 8 (Service of Suit) of the Policy.

**PREMIUM**

* **Gross Premium:** USD 391,014 (100%) Annual
* **Including 1% (one percent) allocation in respect of TRIA.**
* **Premium Payment Terms:** 45 days as stated in Condition 9 of the Policy.

**TAXES PAYABLE AND ADMINISTERED BY (RE)INSURED OR THEIR AGENT**

* **US Surplus Lines tax(es) which is administered by, and the responsibility of, the Surplus Lines Broker who will settle the tax(es) with the relevant taxation authorities.**
* **Aon UK Limited are not involved in the administration of any US Surplus Lines Tax (if applicable).**

**TAX(ES) PAYABLE BY THE (RE)INSURED AND ADMINISTERED BY THE (RE)INSURERS**

* **Underwriters acknowledge that the exposure on this risk may be Worldwide. However, for rating purposes only they consider the exposure for this layer of insurance to be all United States of America based, and therefore no other taxes apply.**

**(RE)INSURER CONTRACT DOCUMENTATION**

* **This Market Reform Contract details the contract terms entered into by the (Re)Insured(s) and (Re)Insurer(s) and constitutes the contract document.**
* **The endorsement(s) or e-endorsement(s) signed by (Re)Insurers shall form the evidence of changes agreed.**
* **This contract may be subject to US state surplus lines requirements. If applicable it is the responsibility of the surplus lines broker to affix a surplus lines notice to the contract document before it is provided to the Insured. In the event that the surplus lines notice is not affixed to the contract document the Insured should contact the surplus lines broker.**
