**ESIS's reasonable judgment, insufficient to secure the prompt payment of claims or allocated loss expenses as incurred; or (b) the Insured has failed to remit funds in any amount requested by ESIS or within the required time period. Within thirty (30) days of notification of any such adjustment, the Insured will make a cash deposit in the amount of the difference between the previous Required Level and the adjusted Required Level.**

## 7. Taxes, Non-Premium Surcharges and Assessments

The tax and non-premium surcharge and assessment charges herein are based upon the Company's current knowledge of the state's interpretation of current law. If current law or a state interpretation thereof changes, or a rate or basis of assessment changes, then the Insured and the Company agree that the Company shall have the right to amend such prior tax and/or surcharge and/or assessment charges to the Insured in order to match the state interpretation, and the Company shall bill the Insured for such retrospective taxes and/or assessments accordingly.

If audited exposures and/or adjusted premiums generate a basis of assessment for any tax, assessment, or surcharge not listed in schedule II.A) Non-Premium Surcharges and Assessments, then the Insured and the Company agree that the Company shall have the right to add such charges to the schedule and bill the Insured accordingly.

## 8. Uninsured / Underinsured Motorist Insurance & Personal Injury Protection: Returning of Required Executed Selection Forms

(UM/UIM) and (PIP) are coverages that arise out of state laws that require the policy provide these coverages. Some states require that an insurance company provide the coverages in an amount equal to the automobile Policy's Liability limits unless the insured either rejects coverage entirely (where allowed) or selects lower limits. Other states provide that the minimum limits are provided unless higher limits are selected by the insured. The courts have demonstrated that, in the event of a claim, the execution of the selection or rejection will not be upheld unless it is done on the appropriate form and is executed prior to the policy effective date. You need to consult with your insurance and/or legal advisers to determine the choice most appropriate for you and your business operations. It is your responsibility to make your selections or rejections prior to the policy effective date. Failure to do so may result in a court construing coverage where none was expected or intended. Any policy deductible, retention, or loss limitation will apply in such a case.

We do not offer UM/UIM coverage in states where we are not required to do so by law. This proposal is based on the assumption that you will reject UM/UIM coverage where permitted to do so, and will elect minimum required limits where rejection is not permitted, unless you have already provided us with your executed selection and rejection forms. If you have provided us with your executed selection and rejection forms then this proposal provides the coverages in accordance with your choices.

If you have not provided us with your executed selection and rejection forms prior to the effective date, we will not issue your policies for a period of thirty days unless we receive properly executed UM/UIM selection and rejection forms. However, if you do not return fully completed selection and rejection forms within thirty days after the policies have inceptioned, we will issue the policies as though coverage for UM, UIM, and PIP are rejected wherever possible and minimum limits in all other states, in accordance with this proposal and/or your submission. In the event of a claim, a court may construe coverage where none was expected or intended. Any policy deductible, retention, retrospective premium obligation, or loss limitation will apply in such a case.

## 9. Deregulation Disclosures and Certifications

Certain states may require that deregulation disclosures and/or certifications be in writing and agreed to between the Insured and the Company. Any such disclosures and/or certifications are listed below:
