but not more than one hundred and twenty (120) days before the expiration date of this policy.

2. The written notice will state the effective date of:

a. The nonrenewal and the Policy Period will end on the date of nonrenewal; or

b. The conditional renewal.

3. A post office certificate of mailing or a certified mail receipt will be sufficient proof of mailing of notice.

4. If we violate any of the provisions of items 1. through 3. above, by sending the First Named Insured a notice:

a. That is incomplete, or later than thirty (30) days prior to this policy's expiration date but prior to the policy's expiration date, coverage will remain in effect at the same terms and conditions of this policy and at the lower of the current rates or the prior period's rates, until sixty (60) days after proper nonrenewal or conditional renewal notice is mailed unless the First Named Insured, during this sixty (60) day period, has replaced the coverage or elects to cancel; or

b. That is later than the expiration date of this policy, coverage will remain in effect at the same terms and conditions of this policy for another annual policy period, at the lower of the current rates or the prior period's rates unless the First Named Insured, during this additional policy period, has replaced the coverage or elects to cancel.

The Aggregate Limit of Insurance shown in the Declarations will be increased in proportion to any Policy extension as provided in 4.a. or 4.b. above.

5. We will not send you notice of nonrenewal or conditional renewal if your authorized agent or broker or another insurer of yours mails or delivers notice to us that this policy has been replaced or is no longer desired.

If this is a "hyper limits excess liability" policy:

1. If we elect not to renew this policy, we will mail by first class or certified to the First Named Insured and to the agent or broker of record, at their last addresses known to us, written notice stating the reason for nonrenewal at least thirty (30) but not more than one hundred twenty (120) days before the effective date of nonrenewal.

2. Notice of nonrenewal will state the effective date of nonrenewal. The Policy Period will end on the date of nonrenewal.

3. A post office certificate of mailing or a certified mail receipt will be sufficient proof of mailing of notice.

4. We will not send you notice of nonrenewal if you, your authorized agent or broker or another insurer of yours mails or delivers notice that the policy has been replaced or no longer desired.

As used in this endorsement, "hyper limits excess liability", as defined by New York Statute, is an excess liability policy written over one or more underlying liability policies, providing in the aggregate at least $10 million in limits of insurance.

All other terms and conditions of the policy remain unchanged.
