INSURING AGREEMENT

Section I. INSURING AGREEMENT - COMMERCIAL UMBRELLA LIABILITY is amended to include the following additional provisions:

1. We will pay all sums in excess of the Uninsured/Underinsured Motorists Retained Limit the Insured is legally entitled to recover as compensatory damages from the owner or operator of:
   * An Uninsured Motor Vehicle as defined in Definition 4.a., 4.b. and 4.c. of this endorsement because of Bodily Injury sustained by the Insured, or Property Damage and caused by an Occurrence, and
   * The Uninsured Motor Vehicle as defined in Definition 4.d. of this endorsement because of Bodily Injury sustained by any Insured, or Property Damage.

**NOTICE:** THESE POLICY FORMS AND THE APPLICATION FOR INSURANCE ARE FILED WITH AND APPROVED BY THE INSURANCE DEPARTMENT. HOWEVER, SUCH FORMS AND RATES MUST MEET THE MINIMUM STANDARDS OF THE NEW 82610 (2007) INSURANCE LAW AND REGULATIONS.
