**IV. Under Section VI, CONDITIONS, the first sentence of Paragraph E. Other Insurance is deleted and replaced by the following**

**E. Other Insurance**

If other valid and collectible insurance applies to a "loss" that is also covered by this policy, this policy will apply excess of the other insurance.

**V. The following provision is added to Section VI -CONDITIONS and supersedes any provision to the contrary:**

Failure to give notice to us as required under this Policy shall not invalidate any claim made by the insured, injured person or any other claimant, unless the failure to provide such timely notice has prejudiced us. However, no claim made by the insured, injured person or other claimant will be invalidated if it shall be shown not to have been reasonably possible to give such timely notice and that notice was given as soon as was reasonably possible thereafter.

If we disclaim liability or deny coverage based upon the failure to provide timely notice with respect to a claim arising out of death or personal injury of any person, then the injured person or other claimant may maintain an action directly against us in which the sole question is our disclaimer or denial based on the failure to provide timely notice, unless within sixty days following such disclaimer or denial, the insured or us: (a) initiates an action to declare the rights of the parties under the insurance policy; and (b) names the injured person or other claimant as a party to the action.

This endorsement does not change any other provision of the policy.
