# EXCESS LIABILITY POLICY (S190)

## 178210-1-86 AMENDMENT - LIMITS OF INSURANCE (QUOTA SHARE)

The policy applies subject to the following additional provisions:

A. Item 4. of the Declarations is amended to read as follows:

**LIMITS OF INSURANCE**

- $10,000,000 Each Occurrence - Quota Share Basis
- $10,000,000 Aggregate - Quota Share Basis

Our Limits of Insurance above shall only apply on a Quota Share Basis.

B. The first paragraph of Insuring Agreement I., COVERAGE, is replaced by the following:

Subject to the other provisions of this policy, We will indemnify the Insured on a Quota Share Basis for the Insured's Ultimate Net Loss if such loss results from an occurrence insured by all of the policies designated in the Declarations as Underlying Insurance and Other Quota Share Insurance.

However, the insurance afforded by this policy shall apply only (a) in excess of all Underlying Insurance, (b) after all Underlying Insurance has been exhausted by payment of the limits of such Insurance, and (c) on a Quota Share Basis. If any Underlying Insurance does not pay a loss, for reasons other than exhaustion of an aggregate limit of insurance, then We shall not pay such loss.

C. Section C. of Insuring Agreement II., DEFENSE AND EXPENSE OF CLAIMS AND SUITS, is replaced by the following:

C. Subject to all of the foregoing:

(1) If defense expense payments are included within the limits of insurance of any Underlying Insurance or any Other Quota Share Insurance by the terms of those policies, then any such expense payment We make shall reduce the Limits of Insurance of this policy.

(2) If none of the Underlying Insurance or Other Quota Share Insurance includes defense expense payments within their limits of insurance by the terms of those policies, then any such expense payment We make shall not reduce the Limits of Insurance of this policy.

D. The DEFINITIONS Section of this policy is amended to include the following:

3. OTHER QUOTA SHARE INSURANCE means the policy or policies shown in Item G of this amendment.
