## Section 1: General Terms and Conditions

- **(a) All office expenses of the Insured:** These expenses are subject to the written consent of the Company.

- **(e) Appeal bond:** If a judgment exceeds the underlying insurance limit or limits and the insured elects to appeal, an appeal bond must be obtained.

## Section 2: Subrogation and Salvage

- **(a) Application of recoveries:** Recoveries received subsequent to settlement under this certificate shall be applied as necessary adjustments between the Insured and the Company.
- **(b) Recovery rights:** The Insured's right of recovery against any person cannot be exclusively subrogated to the Company. The Company will act in concert with other parties concerning payment recovery.
- **(c) Payment principles:** Any party that has paid an amount over and above any payment received shall be reimbursed up to the amount paid by them. The Company is then to be reimbursed out of any balance remaining up to the amount paid. Parties entitled to claim the residue, if any, shall be apportioned between the parties in the ratio of their respective recoveries finally settled.

## Section 3: Term

- **(a) Coverage application:** This certificate applies only to accidents or occurrences happening between the effective and expiration dates shown in Item 2 of the Declarations, unless otherwise cancelled.
- **(b) Nuclear incident exclusion:** This certificate does not apply:
  - Under any Liability Coverage to injury, sickness, disease, death, or destruction resulting from the hazardous properties of nuclear material.
  - Under any Medical Payments Coverage or Supplementary Payments Provisions relating to immediate medical or surgical relief to expenses incurred with respect to bodily injury, sickness, disease, or death resulting from the hazardous properties of nuclear material.
  - Under any Liability Coverage to injury, sickness, disease, death, or destruction resulting from the hazardous properties of nuclear material if:
    - The nuclear material is at any nuclear facility owned by, operated by, or on behalf of the Insured.
    - The nuclear material is contained in spent fuel or waste at any time possessed, handled, used, processed, stored, transported, or disposed of by or on behalf of the Insured.
    - The injury, sickness, disease, or death arises out of furnishing services, materials, parts, or equipment in connection with the planning, construction, maintenance, operation, or use of any nuclear facility, but if such facility is located within the United States of America, its territories or possessions, or Canada, this exclusion applies only to injury or destruction of property at such nuclear facility.
