# EMPLOYEE BENEFIT LIABILITY ENDORSEMENT

## I. The Company will pay on behalf of the insured the ultimate net loss the insured is legally obligated to pay, in excess of the applicable limit of the underlying Employee Benefit Liability policy listed in the schedule of underlying insurance on account of any claim made or suit brought against the insured and caused by any negligent act, error or omission of the insured or any other person for whose acts the insured is legally responsible for in the administration of the insured's Employee Benefit Program.

## II. Definitions

A. Employee Benefit Programs means Group Life Insurance, Group Accident or Health Insurance, Pension Plans, Employee Stock Subscription Plans, Worker's Compensation, Unemployment Insurance, Social Security and Disability Benefits, and any other similar benefit program.

B. Administration means:

1. giving counsel to employees with respect to Employee Benefit Programs;
2. interpreting Employee Benefit Programs;
3. handling of records in connection with Employee Benefit Programs;
4. effecting enrollment of employees under Employee Benefit Programs;

Provided all such acts are authorized the insured.

This insurance does not apply unless such liability is covered by valid and collectible underlying insurance as listed in the schedule of underlying insurance, and then only for such hazards for which coverage is afforded under said underlying insurance.
