# LIMITS OF LIABILITY AND EXCLUSION OF LIABILITY

It is agreed that any loss covered hereunder is also covered in whole or in part under any other Excess Policy issued prior to the inception date hereof. The limit of liability hereon as stated in Items 5 and 6 of the Declarations shall be reduced by any amounts due to the Insured on account of such loss under such prior insurance.

Subject to the foregoing paragraph and to all the other terms and conditions of this Policy, in the event that personal injury or property damage arising out of an occurrence covered hereunder is continuing at the time of termination of this Policy, the Company will continue to protect the Insured for liability in respect of such personal injury or property damage up to the national premium.

**LIMITS OF LIABILITY**

The limits of liability under this Policy shall be as follows:

- **Personal Injury:** $10,000,000
- **Property Damage:** $2,000,000

The aggregate limits of liability under this Policy shall not exceed the sum of the limits of liability for personal injury and property damage during the period of this Policy, which shall not exceed $12,000,000.

**CANCELLATION**

This Policy may be canceled by the Company or its representatives by mailing written notice to the Company or its representatives at the address shown in this Policy. Such cancellation shall be effective upon receipt of the notice by the Company or its representatives. If the notice is mailed less than thirty (30) days before the effective date of cancellation, the mailing of notice shall be sufficient to effect cancellation. If the notice is mailed more than thirty (30) days before the effective date and hour of cancellation stated in the notice, the mailing of notice shall be sufficient to effect cancellation. If the notice is mailed within thirty (30) days of the effective date of the Policy, the mailing of notice shall be sufficient to effect cancellation if the notice is received by the Company or its representatives at least twenty-four (24) hours before the effective date of cancellation.

**PURPOSE**

This Policy is intended to provide coverage for the Insured against liability for personal injury or property damage arising out of an occurrence covered by this Policy. This Policy does not cover any liability for personal injury or property damage that is caused or contributed to by the Insured's violation of the Policy, nor does it cover any liability for personal injury or property damage that is caused or contributed to by the Insured's violation of any law, ordinance, rule, or regulation.

**SOLE AGENT**

The sole agent for the Insured with respect to this Policy is the Company. The Company is authorized to make changes to this Policy, including instructions for changes in this Policy, and the Insured agrees to accept such changes.
