This endorsement, effective on May 21, 1996 at 12:01 A.M. standard time, forms a part of Policy No. NEA 0109021 of the Reliance Insurance Company

**NEW YORK COMMERCIAL EXCESS LIABILITY POLICY**

**CANCELLATION AND TERMINATION PROVISIONS**

The following condition is added to Section IX., GENERAL CONDITIONS:

D(ii) Nonrenewal

If the Company elects not to renew this policy, the Company shall send notice as provided in paragraph 5 below along with the reason for non-renewal.

3. Conditional Renewal

If the Company conditions renewal of this policy upon:
a. change of limits;
b. change in the type of coverage;
c. reduction of coverage;
d. increased deductible;
e. addition of an exclusion; or
f. increased premiums in excess of ten percent (10%), exclusive of any premium increase due to and commensurate with insured value added or increased exposure units, or as a result of experience rating, loss rating, retrospective rating, or audit;

the Company shall send notice as provided in paragraph D.3. above.

4. Notices of NonRenewal and Conditional Renewal

a. If the Company decides not to renew this policy or to conditionally renew this policy as provided in paragraphs 3. and 4. above, the Company shall mail or deliver written notice to the Named Insured a least sixty (60) but not more than one hundred twenty (120) days before:
1. the expiration date; or
2. the anniversary date of this is a continuous policy.
b. Notice will be mailed or delivered to the Named Insured at the address shown in Item II. of the Declarations and to the authorized agent or broker. If notice is mailed, proof of mailing will be sufficient proof of notice.
