**the Superintendent of Insurance determines that continuation of the present premium volume would jeopardize our solvency or injure the interests of policyholders or the public, or that continuing the policy itself would violate the Insurance Law;**

**there is reasonable basis to believe that the Insured intends to destroy the insured property in order to collect the insurance proceeds, provided that the Insured is notified of the right to seek a ruling on this basis from the superintendent.**

c. We will mail or deliver our notice to the Insured's last mailing address known to us.

d. Notice of cancellation will state the effective date of cancellation. The policy period will end on that date.

e. If this policy is cancelled, we will send the Insured any premium refund due. If we cancel, the refund will be pro rata. If the Insured cancels, the refund will be based upon the customary short rate table. The cancellation will be effective even if we have not made or offered a refund.

f. If notice is mailed, proof of mailing will be sufficient proof of notice.

**II. Nonrenewal**

We may nonrenew this policy by mailing or delivering to the Insured and to its authorized agent or broker written notice of our intention:

a. to not renew the policy, or

b. to condition the renewal upon stated material changes in terms or conditions.

Such notice shall be given no more than 120 days and not less than 60 days in advance of expiration date.

If, because of lack of underwriting information, we are unable to quote renewal, we may issue an Alternative Notice explaining our position, and indicating that a second notice will follow. Coverage will continue until 60 days after the issuance of second notice.

9. Under CONDITIONS, the following section is added:

9. GENERAL CONDITIONS

It is hereby understood and agreed that, notwithstanding anything in this policy to the contrary, with respect to such insurance as is afforded by this policy, the terms of this policy as respects coverage for operations in the State of New York shall conform to the coverage requirement of the applicable insurance laws or the applicable regulations of the New York Insurance Department; provided, however, that our Limits of Insurance as stated in the policy shall be excess of the Limits of Insurance of any underlying insurance or self-insurance as stated in the Declarations or in any endorsements attached hereto.
