This endorsement, effective 12:01 A.M. 05/21/98 forms a part of Policy No. RMGL 113-59-83 issued to International Business Machines Corporation by NATIONAL UNION FIRE INSURANCE COMPANY OF PITTSBURGH, PA

### AMENDMENT OF DUTIES IN THE EVENT OF OCCURRENCE, OFFENSE, CLAIM OR SUIT

This endorsement modifies insurance provided under the following:

#### COMMERCIAL GENERAL LIABILITY COVERAGE FORM

Section IV - Commercial General Liability Conditions, 2. - Duties in the Event of Occurrence, Offense, Claim or Suit, a. is hereby deleted and replaced with the following:

a. You must see to it that we are notified as soon as practicable of any "occurrence" or an offense which may result in a claim. Knowledge of an "occurrence" by your agent, your servant, or your employee shall not in itself constitute knowledge to you unless the Risk Manager of the Named Insured, at the address shown in the policy declarations, will have received such notice. To the extent possible notice should include:

(1) How, when and where the "occurrence" or offense took place;
(2) The names and addresses of any injured persons and witnesses; and
(3) The nature and location of any injury or damage arising out of the "occurrence" or offense.

Notice given by or on behalf of the insured to any authorized agent of the company with particulars sufficient to identify the insured, shall be deemed to be notice to the company. Failure to give such notice within the time specified in the policy shall be invalidate any claim made by the insured if it shall be shown not to have been reasonable possible to give such notice within the prescribed time and that notice was given as soon as practicable.

The word "promptly" shall mean after an occurrence becomes known to the manager of insurance at the insured's office at Armonk, NY.
