**BROADENING AMENDATORY ENDORSEMENT APPLICABLE TO COMMERCIAL UMBRELLA INSURANCE**

**AMENDMENT I**

It is agreed that the last paragraph of Insuring Agreement IV, Retained Limit – Limit of Liability, is replaced by the following:

In the event of reduction or exhaustion of the aggregate limit(s) of liability under said underlying insurance by reason of losses paid or payable thereunder during this policy period, this policy shall, subject to the Company's limit of liability stated in item 3A and 3B of the Declarations and to the terms and conditions of the underlying insurance,

1. In the event of reductions, pay excess of the reduced underlying insurance, or
2. In the event of exhaustion, continue such coverage afforded by underlying insurance in excess of the exhausted limit of such underlying insurance.

**AMENDMENT II**

It is agreed that condition A(6) Occurrence, is replaced by the following:

"Occurrence," wherever used herein, means an accident, or a happening or event, or a continuous or repeated exposure to conditions, which unexpectedly or unintentionally results in personal injury, property damage or advertising liability. All such exposure to substantially the same general conditions existing at or emanating from one premises location shall be deemed one occurrence.

**AMENDMENT III**

It is agreed that condition A(7)(e) is amended to read as follows:

(e) assault and battery not committed by or at the direction of the insured, unless committed for the purpose of protecting persons or property which occur during the policy period.

It is further agreed that the following condition A(7)(f) is added:

(f) racial, religious, sex or age discrimination (unless insurance thereof is prohibited by law) not committed by or at the direction of the insured, but only with respect to the liability other than fines and penalties imposed by law which occurs during the policy period.

All other terms and conditions of this insurance remain unchanged.

IT IS FURTHER AGREED THAT THE PROVISIONS OF THIS ENDORSEMENT DO NOT APPLY TO THE FOLLOWING STATES:
